By visiting our Site, creating an account, placing an order, making a purchase, or otherwise interacting with our services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. Your continued use of the Site following any updates or modifications to these Terms constitutes your acceptance of the revised Terms.

You represent and warrant that you are at least eighteen (18) years of age, or if you are between the ages of thirteen (13) and seventeen (17), that you are using the Site with the knowledge, supervision, and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Individuals under the age of thirteen (13) are not permitted to use this Site or our services.

If you are accessing or using the Site on behalf of a business, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" and "your" shall refer to that entity.

Dewey's Pizza is a food service business operating in the United States. Through our website at pizzadeweys-eat.click, we offer the following services to our customers:

• Online Food Ordering: Customers may browse our menu and place orders for pizza, appetizers, beverages, desserts, and other food and beverage items currently offered by Dewey's Pizza.
• Delivery Services: We provide food delivery to eligible addresses within our designated delivery zones, subject to availability, operating hours, and applicable minimum order requirements.
• Carryout/Pickup Services: Customers may place orders online for in-store or curbside pickup at our location during regular business hours.
• Catering Inquiries: We may offer catering services for events and gatherings. Catering orders are subject to separate terms, pricing, and scheduling requirements and must be arranged directly with our staff.
• Promotional Offers and Loyalty Programs: From time to time, we may offer discounts, coupons, promotional codes, or loyalty rewards programs. Such offers are subject to their own specific terms and conditions and may be modified or withdrawn at any time without prior notice.
• Customer Account Management: Users may create and manage personal accounts on our Site to streamline ordering, save preferences, track order history, and receive communications from us.

We reserve the right, at our sole discretion, to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, and without liability to you. Menu items, pricing, availability, and delivery zones are subject to change without prior notice.

All food items are prepared in a commercial kitchen that may handle common allergens including, but not limited to, wheat, gluten, dairy, eggs, nuts, soy, and shellfish. Customers with food allergies or dietary restrictions are solely responsible for reviewing ingredient information and communicating any allergies or dietary needs to our staff. Dewey's Pizza cannot guarantee allergen-free preparation environments.

3. User Obligations and Prohibited Activities

3.1 User Obligations

As a condition of your use of the Site and our services, you agree to:

• Provide accurate, current, and complete information when creating an account, placing orders, or communicating with us.

• Ensure that any delivery address you provide is accurate and within our designated delivery area.
• Be present at the designated delivery address at the time of delivery or designate an authorized representative to accept the order on your behalf.
• Pay all applicable charges, fees, and taxes associated with your orders at the time of purchase.
• Comply with any additional terms or instructions provided during the ordering process.

3.2 Prohibited Activities

You agree that you will not, under any circumstances:

• Use the Site for any unlawful, fraudulent, or malicious purpose, or in any manner that could cause harm to Dewey's Pizza, other users, or third parties.
• Attempt to gain unauthorized access to any portion of the Site, server, database, or network connected to the Site.
• Use automated tools, bots, scrapers, crawlers, or similar technologies to access, monitor, copy, or collect data from the Site without our express written permission.
• Transmit any viruses, malware, ransomware, or other harmful computer code through the Site.
• Submit false, misleading, or fraudulent orders, reviews, or communications.
• Impersonate any person or entity, including Dewey's Pizza employees, representatives, or other users.
• Engage in any conduct that restricts or inhibits any other user's ability to use or enjoy the Site.
• Use the Site to collect or harvest personal information of other users without their consent.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content for commercial purposes without our prior written authorization.
• Attempt to reverse engineer, decompile, or disassemble any software or technology underlying the Site.
• Post or transmit any content that is defamatory, obscene, offensive, hateful, or otherwise objectionable.
• Place orders with the intent to defraud Dewey's Pizza, including but not limited to, using invalid payment methods, initiating unauthorized chargebacks, or claiming non-delivery of properly delivered orders.

Violation of any of the above prohibitions may result in immediate termination of your account, cancellation of pending orders, and, where appropriate, referral to law enforcement authorities. Dewey's Pizza reserves the right to seek all available legal remedies for violations of these Terms.

4. Intellectual Property Rights

The Site and all of its content, features, and functionality — including but not limited to text, graphics, logos, images, photographs, menu designs, promotional materials, audio clips, digital downloads, data compilations, and software — are the exclusive property of Dewey's Pizza and/or its licensors and are protected under United States intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable state intellectual property statutes.

The Dewey's Pizza name, logo, trade dress, and all related marks, product names, and slogans are trademarks or service marks of Dewey's Pizza. Nothing in these Terms grants you any right or license to use any trademark, service mark, logo, or trade name of Dewey's Pizza without our prior written consent.

Subject to your compliance with these Terms, Dewey's Pizza grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with ordering food and related services from Dewey's Pizza. This license does not include the right to:

• Modify or create derivative works based on the Site or its content;
• Use data mining, robots, or similar data gathering and extraction tools;
• Download or copy any portion of the Site for the benefit of a competitor;
• Frame or mirror the Site on any other website or platform without our written consent.

Any unauthorized use of the Site or its content terminates the limited license granted above and may constitute a violation of copyright, trademark, and other applicable laws, which could result in civil and/or criminal liability.

If you submit any feedback, suggestions, reviews, or other content to us through the Site, you grant Dewey's Pizza a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media, without compensation or attribution to you.

5. Payment Terms

5.1 Pricing and Charges

All prices displayed on the Site are in United States Dollars (USD) and are subject to change without prior notice. Prices do not include applicable sales taxes, delivery fees, service charges, or gratuity unless explicitly stated at checkout. The total amount charged to you will be displayed before you complete your order.

5.2 Payment Methods

We accept major credit cards, debit cards, and other payment methods as displayed on the Site at the time of checkout. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize Dewey's Pizza to charge your payment method for the total amount of your order, including all applicable taxes and fees.

5.3 Order Confirmation and Processing

Upon successful submission of your order and payment, you will receive an order confirmation via email or on-screen notification. This confirmation does not guarantee fulfillment of your order. We reserve the right to cancel or modify any order due to ingredient unavailability, pricing errors, capacity limitations, or other operational reasons. In the event of a cancellation initiated by us, you will receive a full refund to your original payment method.

5.4 Refunds and Cancellations

Due to the perishable nature of food products, all sales are generally final once an order has been confirmed and preparation has begun. If you wish to cancel an order, you must contact us immediately at [email protected]. Cancellations may only be accommodated before food preparation has commenced, at our sole discretion.

If you receive an incorrect or unsatisfactory order, please contact us within twenty-four (24) hours of receipt. Refunds, credits, or replacements will be provided at the sole discretion of Dewey's Pizza based on the circumstances of each case.

5.5 Taxes

You are responsible for all applicable federal, state, and local taxes associated with your purchases. Dewey's Pizza will collect and remit sales taxes as required by applicable law.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Site or our services;
• Any errors, mistakes, or inaccuracies in content on the Site;
• Unauthorized access to or alteration of your data or transmissions;
• Any third-party conduct or content on the Site;
• Any food allergic reactions or dietary concerns arising from consumption of our products;
• Delays, failures, or interruptions in delivery or service;
• Any other matter relating to our services.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF DEWEY'S PIZZA TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

7. Disclaimers

7.1 As-Is Basis

THE SITE AND ALL SERVICES PROVIDED BY DEWEY'S PIZZA ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DEWEY'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2 No Warranty of Accuracy

Dewey's Pizza does not warrant that the information on the Site — including menu descriptions, nutritional information, ingredient lists, pricing, and promotional offers — is accurate, complete, reliable, current, or error-free. We make reasonable efforts to ensure the accuracy of our content but cannot guarantee it at all times.

7.3 No Warranty of Uninterrupted Service

We do not warrant that the Site will operate without interruption, be free of errors or viruses, or that defects will be corrected. We reserve the right to suspend, modify, or discontinue the Site or any feature thereof at any time without notice.

7.4 Third-Party Links and Services

The Site may contain links to third-party websites or services. These links are provided for your convenience only. Dewey's Pizza has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations about third-party sites.

8. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Site or services in any unauthorized or unlawful manner;
• Your violation of any applicable law, rule, or regulation;
• Your infringement of any third party's intellectual property, privacy, or other rights;
• Any content you submit, post, or transmit through the Site;
• Your negligence, fraud, or willful misconduct;
• Any dispute between you and any third party in connection with your use of our services.

Dewey's Pizza reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate fully with our defense of such claims. You agree not to settle any such claim without our prior written consent.

9. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to them, your use of the Site, or the services provided by Dewey's Pizza shall be governed by and construed in accordance with the laws of the United States and the laws of the State in which Dewey's Pizza principally operates, without giving effect to any principles of conflicts of law.

To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Dewey's Pizza agree to submit to the personal and exclusive jurisdiction of the state and federal courts of competent jurisdiction located in the United States for the purpose of litigating all such disputes. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.

These Terms are subject to applicable federal laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the CAN-SPAM Act, the Children's Online Privacy Protection Act ("COPPA"), and all other applicable consumer protection statutes and regulations enforced by the Federal Trade Commission ("FTC"). Where applicable, the California Consumer Privacy Act ("CCPA") as amended by the California Privacy Rights Act ("CPRA") may apply to California residents in connection with our Privacy Policy.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the services of Dewey's Pizza informally by contacting us at [email protected]. You agree to provide us with a written description of the dispute, your contact information, and the specific relief you are seeking. We will make reasonable good-faith efforts to resolve the dispute within thirty (30) days of receipt of your written notice. If we are unable to resolve the dispute informally within that period, either party may proceed to formal dispute resolution as set forth below.

10.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND LIMITS YOUR ABILITY TO SEEK RELIEF IN COURT.

Except for disputes that qualify for small claims court, and except as otherwise provided in these Terms, you and Dewey's Pizza agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or the services — including disputes regarding the formation, validity, enforceability, or scope of this arbitration agreement — shall be resolved exclusively through binding arbitration administered by a recognized arbitration provider, such as the American Arbitration Association ("AAA"), in accordance with its then-current Consumer Arbitration Rules.

The arbitration shall be conducted in English, in the United States, and may be conducted via written submissions, telephone, video conference, or in person, as determined by the arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL AND YOUR ABILITY TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.3 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court if the dispute qualifies and remains in such court. Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration.

11. Term and Termination

11.1 Duration

These Terms shall remain in full force and effect for as long as you use, access, or interact with the Site or any services provided by Dewey's Pizza, unless earlier terminated as provided herein.

11.2 Termination by You

You may terminate your account and cease using our services at any time by contacting us at [email protected] and requesting account deletion. Please note that termination does not relieve you of any obligations or liabilities incurred prior to termination, including any outstanding payment obligations.

11.3 Termination by Dewey's Pizza

Dewey's Pizza reserves the right, in its sole and absolute discretion, to suspend, restrict, or permanently terminate your access to the Site and/or your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of any provision of these Terms;
• Suspected fraudulent, abusive, or illegal activity;
• Failure to make timely payment for orders;
• Conduct that is harmful to other users, third parties, or the interests of Dewey's Pizza;
• Requests by law enforcement or government authorities;
• Unexpected technical or security issues or problems;
• Discontinuation of our services, whether in whole or in part.

11.4 Effect of Termination

Upon termination of your account or these Terms for any reason: (a) all rights and licenses granted to you under these Terms shall immediately cease; (b) you must immediately cease all use of the Site and services; (c) any provisions of these Terms that by their nature should survive termination shall survive, including Sections 4, 6, 7, 8, 9, 10, and 14.

12. Changes to Terms

Dewey's Pizza reserves the right to revise, update, or modify these Terms of Service at any time and for any reason, at our sole discretion. We will provide notice of material changes by updating the "Last Updated" date at the top of this page, by posting a prominent notice on our Site, or by sending an email notification to the address associated with your account.

Your continued use of the Site or our services following the posting of revised Terms constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of any changes. If you do not agree to any modified Terms, you must immediately discontinue your use of the Site and services.

No modification or amendment to these Terms by you shall be binding on Dewey's Pizza unless made in writing and signed by an authorized representative of Dewey's Pizza.

13. Severability

If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or, if such modification is not possible, it shall be severed from these Terms entirely. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect as if the invalid or unenforceable provision had never been included.

The parties further agree that no failure or delay by Dewey's Pizza in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver of any particular breach or default shall not constitute a waiver of any subsequent breach or default, and shall not affect the other terms of these Terms.

14. Additional Provisions

14.1 Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Dewey's Pizza on the Site, constitute the entire agreement between you and Dewey's Pizza with respect to your use of the Site and our services. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the subject matter herein.

14.2 No Waiver

No waiver by Dewey's Pizza of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Dewey's Pizza to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

14.3 Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this provision shall be null and void. Dewey's Pizza may freely assign these Terms, in whole or in part, without restriction or consent, including in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.

14.4 Force Majeure

Dewey's Pizza shall not be held responsible for any delays, failures in performance, or interruptions of services that result from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, governmental actions, power outages, labor disputes, supply chain disruptions, internet outages, or civil unrest.

14.5 Electronic Communications

By using our Site and services, you consent to receiving electronic communications from Dewey's Pizza, including emails, text messages, and on-site notifications. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.
